Summary of Debt and Equity Sell side mandates Imara has completed
- Imara advised Honde Hydro Power Consolidated (Private) Limited on two bond issues that raised a total of US$ 15 million. The debt was structured as Prescribed Asset Status debt which greatly enhanced its attractiveness to local asset managers, pension funds and insurance companies. Both bond issues were successfully launched and at completion were oversubscribed in 2017 and 2018 ;
- Imara advised Green Fuels (Private) Limited on a potential US$10 million bond issue. The debt was structured as a Prescribed Assets, but was not approved by the Insurance and Pension Commission as the client balance sheet was deemed too fragile;
- Imara advised Barclays Plc on the disposal of its controlling shareholding in Barclays Bank of Zimbabwe Limited to FMB Capital Holdings Limited. We assisted in preparing transaction documentation and canvassing potential acquirers resulting in a successful disposal of the shares in 2017;
- We performed the role of corporate and financial advisor to Transerv on behalf of its shareholders as part of the transaction where shareholders sold a 26% stake in the company to Innscor Africa Limited. Our transaction management responsibilities included performing a valuation, a limited due diligence, prepared transaction marketing documentation including the due diligence data room and approached under our authority a limited number of potential buyers. Imara also managed a myriad of issues from unwinding an existing Shareholders` Agreement to assisting in drafting a new three way Shareholders` Agreement, low offer prices and regulatory issues as the deal was in its final stages in 2015;
- Imara advised Tiger Consumer Brands Limited on the transaction where it increased its shareholding in National Foods Holdings Limited. The process involved creating a paper to outline the best method to execute the planned transaction, advising on the Indigenisation and Economic Empowerment Regulations and how the regulations would affect the planned transaction, managing the due diligence review process of National Foods Holdings Limited by a firm of chartered accountants and performed the valuation of National Foods Holdings Limited to determine a price range for negotiations with Innscor Africa Limited in 2010;
