Summary of restructuring mandates Imara has completed

Imara has acted as lead financial advisor on the following mandates:

  • We advised Cimas Medical Aid Society on the reorganisation of the Cimas group structure in 2021. The transaction entailed an internal reorganisation of the group structure through separation by way of a demerger the complementary subsidiaries and divisions from the medical aid society and incorporating them into a newly incorporated holding company named Cimas Health Group Limited which is 100% owned by Cimas Medical Aid Society;
  • We advised Barclays Plc on the disposal of its controlling shareholding in Barclays Bank of Zimbabwe Limited to FMB Capital Holdings Limited. We assisted in preparing transaction documentation and canvassing potential acquirers resulting in a successful disposal of the shares in 2017;
  • We performed the role of corporate and financial advisor to Star Africa Corporation Limited as part of the restructuring and Scheme of arrangements between the company and its creditors in 2017;
  • We advised Nampak Zimbabwe Limited formerly known as Hunyani Holdings Limited on the merger of Nampak Limited’s interest in Zimbabwe in 2015. The restructuring transaction entailed the acquisition by Hunyani Holdings Limited of the entire issued share capital of CarnaudMetalbox (Zimbabwe) Limited and MegaPak Zimbabwe (Private) Limited and an issue for cash to Nampak Holdings Limited (Mauritius);
  • We were co-advisors to the Zimbabwe Stock Exchange in 2014 on its demutualisation from a voluntary association of members to a public limited company named Zimbabwe Stock Exchange Limited;
  • We were appointed advisor on the private placement and Initial Public Offering (“IPO”) of Century Holdings Limited on the ZSE in 2003; and,
  • We were advisers on the IPO of First Bank Corporation Limited on the ZSE in 2001.
