Summary of Transaction Management Work Imara has performed

Below is a list of some of the transactions where Imara was appointed Lead Corporate and Financial Advisor, having overall responsibility for the transaction and hence performing the project management function:

 

  • We were appointed advisor to Meikles Limited on the demerger of Tanganda Tea Company Limited by dividend in specie and its subsequent listing on the ZSE in 2022;
  • We were appointed as the lead advisor to Falcon Gold Zimbabwe Limited on the delisting of the company from the ZSE in 2020;
  • We were appointed as the lead advisor to Powerspeed Electrical Limited on the delisting of the company from the ZSE in 2020;
  • We were appointed corporate and financial advisor by Edgars Stores Limited on a transaction where Edgars acquired the intellectual property rights to the brands it uses in the territory of Zimbabwe in 2019;
  • We performed the role of corporate and financial advisor to Delta Corporation Limited on a series of transactions that resulted in the acquisition of a controlling shareholding in National Breweries Plc and the aborted deal to acquire a controlling stake in Chibuku Products Limited (Malawi) in 2018;
  • We were mandated as financial advisor to Turnall Holdings Limited as part of the equity capital raise and balance sheet restructuring transaction in 2017;
  • We were mandated as financial advisor to Chemco Holdings Limited on its delisting from the ZSE through an offer to minority shareholders by TSL Limited. Imara provided advice on valuation, transaction structuring regarding a shareholder loan, successfully secured the requisite regulatory approvals and accompanied management on shareholder roadshows. The company was successfully delisted in 2015; and
  • We were appointed corporate and financial Advisor to Schweppes Zimbabwe Limited on the proposed acquisition of Invesco Limited (Zambia). Imara performed the due diligence, and valuation of Invesco Limited, advised on the establishment of the Mauritius holding company to be utilised to hold Schweppes Zimbabwe Limited’s planned African acquisitions and green field operations, advised on the various financing options available to the client and executed a US$ 8 million capital raise to finance the transaction. Imara also performed a valuation of Schweppes Zimbabwe Limited to be used in discussions regarding the restructuring of the company’s shareholding in 2013.
